This agreement is between the LeRoy Center for the Creative Arts, referred to as the Center, and the person listed below who wishes to consign their creations to the Center for display and sale.

The terms of this agreement are:

• Quality of workmanship is our foremost concern. All consigned items are to be the creation of the consignor, not a kit, substantially enhanced from its original materials. The Center seeks to show the skill and creativity of the consignor, not the latest trend in decorating or fashion.
• The consignor warrants that they posses unencumbered title to their items and that their descriptions are true and accurate.
• The consignor is responsible for all effort and expense involved with the delivery of the items to the Center and the return of unsold items.
• Title to each item consigned remains with the consignor until the consignor has been paid the full amount owed for the item; title then passes directly to the purchaser. All proceeds from such sale shall be held in trust for the consignor. The Center shall pay all amounts due the consignor before any proceeds of sales can be made available to creditors of the Center.
• Payment to the consignor of their share of any sales will be made on or before the 15th day of the month following the month of sale. An accounting of such sales will be provided with the payment.
• Items are to be clean, safe, and of quality materials.
• All legal requirements, including labeling the materials in wearable art, are the responsibility of the consignor.
• The Center reserves the right to refuse to accept any item with or without cause at its discretion.
• All items are to be marked with removable string tags. Each tag is to contain
  • The consignor’s ID code
  • The item’s price
  • A brief description/title
• All set-up, displaying and sales will be by the Center. If there are any specific display requirements, such as to keep an item out of direct sunlight, communicate that, in writing, when delivering the item.
• Sales tax will be collected and filed by the Center. The consignor does not need to report sales tax to the State of Minnesota.
• The Center will collect from the customer the sales price for each item purchased plus sales tax. The Center will retain 30% of the sales price and pay the consignor the remaining 70%.
• Please select a 3 character ID code. This may consist of numbers, characters or both. In the case of duplicates, the first consignor will have precedence.
• Please submit detailed inventory with each delivery.
• The Center will not permit items consigned to it to be used for any purpose other than display or sale without the written consent of the consignor.
• If an item is not selling for an extended period, becomes broken or the Center no longer wishes to display it, the Center will notify the consignor. All such items are to be removed by the consignor within 30 days of the date of the notice during normal business hours for the Center. If this is not possible, other arrangements may be negotiated. Items left beyond this time without other arrangements become the property of the Center.

I agree that I will not hold LeRoy Center for the Creative Arts, its representatives or employees, or David Perkins responsible or liable in any manner for damage to or loss of my goods on the Center’s property due to fire, theft, negligence, breakage or any other cause. I acknowledge that I had the option not to participate with the Center if I did not wish to have all such claims waived by me.
